Alessi Domenico strengthens its U.S. presence with a new Miami office

By Alessi Domenico

After more than 80 years of activity and a long-standing presence in international markets, Italian jewelry manufacturer Alessi Domenico S.p.A. has expanded its operations in the United States with the establishment of Alessi Domenico USA in Miami, Florida.

The new office marks a further step in the company’s international development and follows years of commercial activity in the United States. Its establishment provides Alessi Domenico with a stable local presence designed to support its operations and strengthen direct interaction with the U.S. market.

Based in Miami, Alessi Domenico USA serves as a local point of contact for clients and business partners, supporting commercial activities, order management, post-sales assistance and logistics coordination. The U.S. office also facilitates communication across time zones and provides a permanent meeting point beyond the international trade shows traditionally attended by the company.

The choice of Miami reflects the city’s position as a dynamic international business hub and a key gateway to the U.S. market. Its strong business environment and international outlook make it a strategic location for Alessi Domenico USA, supporting closer connections with U.S. clients and partners and facilitating the company’s activities across the country.

The U.S. office is wholly owned by the Italian parent company and operates in continuity with its corporate structure and governance framework. This includes the adoption of the same Code of Ethics and Organizational and Management Model, as well as the standards and procedures applied by the parent company.

Alessi Domenico USA is led by Alessandra Novello, who oversees the development and operations of the Miami department.

Through the new office, Alessi Domenico establishes a direct operational connection between its Italian headquarter and the U.S. market.

Guidelines for a Successful Cross-Border Acquisition

By Mowery & Schoenfeld

Expanding into a new country can open the door to new customers, stronger growth, and long-term opportunity. But it also comes with many considerations, including international tax rules, data privacy requirements, political and economic uncertainty, and global supply chain issues.

For many companies, buying a foreign business can be a practical way to enter a new market, giving them access to local customers, an established brand, and built-in market knowledge. At the same time, it requires careful planning and a clear understanding of local regulations, business customs, tax considerations, and the challenges that come with managing operations across borders.

The benefits of entering new foreign markets

The decision to enter a new foreign market is a strategic move that demands thoughtful consideration and a willingness to adapt. However, for companies willing to embrace the challenges and uncertainties of international expansion, expanding into new territories offers many advantages.

Gain access to local talent and intellectual property

In addition to benefiting from a well-known local brand, your business may be able to bring on experienced local employees and gain access to valuable intellectual property.

Bypass legal and regulatory hurdles

With an international business acquisition, you can effectively bypass many of the legal and regulatory hurdles of setting up a new company in foreign country. This is because you are acquiring an existing foreign entity that has already met all regulatory requirements and secured the licenses required to operate a business.

Confirm there is already demand for your product or service

Designing products or services that respond to customer needs in foreign countries can be difficult due to cultural and other differences among countries. The introduction of a product or service in a new country always carries the risk that it will not gain traction. Your acquisition strategy can eliminate this risk since the acquisition target will have already established that customers want a particular product or service.

Florida Food, Manufacturing and Agricultural Businesses Targeted Under California Proposition 65

By Gunster

Recently, several Florida-based food, agricultural and manufacturing businesses have received a Notice of Violation from California-based plaintiff’s attorneys for allegedly failing to comply with the California Safe Drinking Water and Toxic Enforcement Act (also known as, “Proposition 65” or “Prop 65”).

About Proposition 65

Proposition 65 is a product labeling law that requires businesses with more than nine employees to label, reformulate or refrain from selling or distributing products in California that contain certain chemicals in concentrations listed by the California Office of Environmental Health Hazard Assessment as causing cancer or reproductive toxicity. The law primarily applies to all businesses in the chain of commerce other than retailers, although retailers are included if selling private label products.

There are over 900 chemicals on the California Prop 65 List. For many chemicals, the “allowable” concentrations are often well below the concentrations allowed by the U.S. Food and Drug Administration, U.S. Environmental Protection Agency, and Consumer Product Safety Commission. Organic products with “naturally occurring” concentrations of listed chemicals are also targeted under Prop 65. In short, compliance with federal regulations is generally not a defense against alleged Prop 65 violations.

Why Florida Businesses Are at Risk

Of importance to Florida businesses, Prop 65 is primarily enforced by plaintiff-side law firms on behalf of private citizens and advocacy or public interest groups. These “private enforcers” are sending Prop 65 enforcement letters to Florida businesses who have no physical presence in California but may have been involved in the supply chain of products sold or distributed in California. The penalty for violating Prop 65 is up to $2,500 per day, for each individual violation or non-compliant unit sold.
